1Agreement to Terms
By accessing our website at vsnexos.com or using our services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services. These terms apply to all visitors, users, and clients of VSNEXOS.
2Services Rendered
VSNEXOS provides digital consulting, web development, app development, UI/UX design, SEO, business automation, and related services. The specific scope, timeline, and deliverables for any project will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties. We reserve the right to modify or discontinue any service with prior notice.
3Client Obligations
To ensure timely delivery of services, you agree to: provide necessary access to systems, hosting, or accounts; deliver required assets, content, and feedback in a timely manner; communicate project requirements clearly; and assign a primary point of contact. Delays caused by the client may result in project timeline extensions.
4Payment Terms
Payment schedules are outlined in the individual project proposal or SOW. Generally, we require an upfront deposit before commencing work, with subsequent payments tied to project milestones. Invoices are due within the timeframe specified on the invoice. Late payments may incur fees and result in suspension of services until the balance is cleared.
5Intellectual Property Rights
Upon full payment, the client owns the final deliverables (e.g., website code, designs) created specifically for their project. However, VSNEXOS retains ownership of pre-existing proprietary code, libraries, and frameworks used to build the solution. The client is granted a perpetual, non-exclusive license to use these pre-existing elements as part of the final product.
6Confidentiality
Both parties agree to keep confidential all proprietary information exchanged during the course of the business relationship. This includes business strategies, financial data, trade secrets, and technical documentation. This confidentiality obligation survives the termination of any project or agreement.
7Limitation of Liability
In no event shall VSNEXOS, nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of our services or any final deliverables.
8Termination
Either party may terminate an ongoing project or agreement with written notice if the other party breaches material terms and fails to cure the breach within 14 days. Upon termination, the client agrees to pay for all work completed up to the date of termination. VSNEXOS reserves the right to suspend or terminate services for non-payment or abusive behavior.
9Governing Law
These Terms shall be governed and construed in accordance with the laws of India, specifically the jurisdiction of courts in Hyderabad, Telangana, without regard to its conflict of law provisions. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of these courts.
